某境外污水處理PPP項(xiàng)目投標(biāo)及合同談判實(shí)務(wù)案例(一)

為什么這么長(zhǎng)時(shí)間,特許經(jīng)營協(xié)議簽署之后筆者理解了:本項(xiàng)目從發(fā)布招標(biāo)文件到簽署特許經(jīng)營協(xié)議,時(shí)間為1年零10天,國內(nèi)PPP項(xiàng)目投標(biāo)文件有效期目前沒有這么長(zhǎng)時(shí)間的,基本是維持在120天。

5. 沒收投標(biāo)保函的情況比較多。

按照Instructions to Bid Partners (投標(biāo)人須知)要求,如果投標(biāo)人有下列情形之一的,項(xiàng)目發(fā)起人(采購人)可以沒收投標(biāo)保函:

1) 投標(biāo)人在投標(biāo)有效期或者被拒絕之前撤回投標(biāo)文件(the Bid Partner withdraws its BAFO after its submission before the expiry of the BAFO Validity Period or prior to its BAFO being rejected by the Master Developer);

2) 投標(biāo)人未能按照招標(biāo)文件要求延長(zhǎng)投標(biāo)保函的有效期(the Bid Partners fails to extend the validity of the BAFO Bond as required under this Request for BAFO);

3) 投標(biāo)文件含有實(shí)質(zhì)性虛假陳述和失實(shí)(the BAFO contains material misrepresentations or inaccuracies);

4) 投標(biāo)人或者其高管從事不當(dāng)行為(the Bid Partner or its Officer engages in Improper Conduct);

5) 投標(biāo)人為中標(biāo)候選人,在項(xiàng)目發(fā)起人(采購人)通知之日起14日內(nèi)未能進(jìn)行合同談判(if the Bid Partner is the Preferred Bid Partner, it refuses and fails to negotiate with the Master Developer within fourteen (14) Days of being notified by the Master Developer);

6) 中標(biāo)社會(huì)資本未能按照特許經(jīng)營協(xié)議的約定提供履約保函(the Successful Bid Partner fails to provide the Performance Bond in accordance with the Concession Agreement);

7) 投標(biāo)人在遞交投標(biāo)文件之后未經(jīng)項(xiàng)目發(fā)起人(采購人)書面同意(其對(duì)該類事項(xiàng)有絕對(duì)決定權(quán))變更所有權(quán)、股權(quán)結(jié)構(gòu)、公司章程(包括聯(lián)合體成員的相關(guān)類似變更)(the Bid Partner changes its ownership or shareholding structure or constitution (including where the Bid Partner is a consortium or joint venture, any change in the ownership, shareholding structure or constitution of any member of that consortium or joint venture) after submitting its BAFO without the Master Developer’s written consent, which the Master Developer is entitled to grant or withhold at its sole and absolute discretion);

8) 投標(biāo)人在遞交投標(biāo)文件之后尋求修改其投標(biāo)文件,除非該種修改是項(xiàng)目發(fā)起人(采購人)對(duì)招標(biāo)文件變更或修改所必須,或者合同談判所必須(the Bid Partner seeks to modify or modifies its BAFO after its submission unless such modification is necessary pursuant to any changes or amendments to the Request for BAFO made by the Master Developer or pursuant to any negotiations between the Bid Partners and the Master Developer; and/or)

9) 投標(biāo)人違反招標(biāo)文件中的實(shí)質(zhì)性義務(wù)(the Bid Partner breaches any of its material obligations under this Request for BAFO Documents)。

6. 重視環(huán)保。

本項(xiàng)目要求必須獲得美國綠色建筑協(xié)會(huì)認(rèn)證的“親鄰發(fā)展計(jì)劃(NDP) ”類別中的綠色能源與環(huán)境設(shè)計(jì)(LEED)金牌認(rèn)證。項(xiàng)目公司應(yīng)保證在整個(gè)合作期限內(nèi)一直擁有這些認(rèn)證。如果項(xiàng)目公司未能遵守環(huán)保要求并且導(dǎo)致環(huán)境認(rèn)證被撤銷、撤回或降級(jí),則項(xiàng)目公司應(yīng)就每一起違約事件向項(xiàng)目發(fā)起人(采購人)支付違約金5百萬美元(Bid Partners should note that the Plant has earned or will earn the Leadership in Energy and Environmental Design Gold Certification for the “Neighbourhood Development Plan” category certified by the United States of America Green Building Council. The Concession Company is required to coordinate with the Master Developer to ensure that these certifications will be obtained and maintained throughout the term of the Project. If the Concession Company fails to comply with and such failure results in or contributes to the revocation, withdrawal or downgrading of any Environmental Certification, unless excused by a Legitimate Circumstance, the Concession Company shall pay to the Master Developer as liquidated damages an amount of USD Five Million (USD$5,000,000) for each such occurrence)。

隨著國家對(duì)環(huán)保的重視,國內(nèi)PPP項(xiàng)目對(duì)環(huán)保方面的要求也提上日程,但是仍與國外有一定的差距。

除了上述不同之處外,本項(xiàng)目投標(biāo)文件編制過程中最大的不同就是“PPP+EPC”模式的應(yīng)用。當(dāng)前,國內(nèi)PPP項(xiàng)目當(dāng)前很多都是“兩標(biāo)并一標(biāo)”,即選擇的中標(biāo)社會(huì)資本如果具備相應(yīng)的工程資質(zhì)和能力,則根據(jù)《中華人民共和國政府采購法》、《中華人民共和國招標(biāo)投標(biāo)法實(shí)施條例》、《關(guān)于在公共服務(wù)領(lǐng)域深入推進(jìn)政府和社會(huì)資本合作工作的通知》(財(cái)金(2016)90號(hào))、《傳統(tǒng)基礎(chǔ)設(shè)施領(lǐng)域?qū)嵤┱蜕鐣?huì)資本合作項(xiàng)目工作導(dǎo)則》(發(fā)改投資[2016]2231號(hào))等有關(guān)法律法規(guī)的相關(guān)規(guī)定,在項(xiàng)目公司設(shè)立之后,可由項(xiàng)目公司直接委托中標(biāo)人承擔(dān)承包并簽署工程承包合同;若中標(biāo)人不具備相應(yīng)資質(zhì)和能力,則在項(xiàng)目公司設(shè)立之后,由項(xiàng)目公司依照相關(guān)法律規(guī)定進(jìn)行工程招標(biāo)。

本項(xiàng)目所在國家對(duì)于工程建設(shè)沒有特殊資質(zhì)要求,但是本項(xiàng)目采用了類似“兩標(biāo)并一標(biāo)”的“PPP+EPC”模式,即中標(biāo)社會(huì)資本直接委托工程承包商簽署EPC總承包合同,核心內(nèi)容作為投標(biāo)文件的一部分。
